Terms of Service
Please read these Terms of Service ("Terms") carefully before using the services provided by Sighthound Software LLC ("us", "we", or "our"). Your access to and use of our services is conditioned upon your acceptance of and compliance with these Terms.
1. Services
Sighthound Software LLC provides software development and related services, which may include custom application development, web and mobile development, systems integration, automation, consulting, and ongoing support. The specific scope of services, deliverables, and timelines for each client will be outlined in a separate Statement of Work (SOW) or service agreement.
2. Client Obligations
To enable us to perform our services effectively, you agree to:
- Provide timely access to all necessary resources, including website logins, advertising accounts, and analytics data.
- Provide accurate and complete information required for the project.
- Cooperate with us in a timely manner regarding feedback, approvals, and any other matters necessary for the provision of services.
3. Payment Terms
Payment terms will be specified in the SOW or invoice. Typically, services are billed on a monthly retainer basis, payable in advance. All fees are non-refundable. Late payments may result in a suspension of services and/or incur late fees as specified in the service agreement.
Any third-party costs, such as infrastructure, hosting, or licensing fees, are the sole responsibility of the client and are to be paid directly to the third-party provider (e.g., cloud platforms, SaaS vendors).
4. Timelines and Deliverables
We will make every reasonable effort to meet the project timelines outlined in the SOW. However, these timelines are estimates and may be subject to change due to unforeseen circumstances or delays in receiving necessary information or approvals from the client. We are not liable for any damages resulting from such delays.
5. Confidentiality
Both parties agree to keep all non-public information received from the other party confidential. This includes business strategies, client data, and campaign details. This obligation of confidentiality shall survive the termination of our service agreement.
6. Limitation of Liability
While we strive to deliver high-quality software and services, Sighthound Software LLC does not guarantee specific business outcomes such as revenue increases or cost savings. Technology ecosystems and third-party platforms can change without notice, and performance may be affected by factors beyond our control. In no event shall Sighthound Software LLC be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services.
7. Termination
Either party may terminate the service agreement with a written notice period as defined in the SOW. Upon termination, the client is responsible for all fees incurred up to the date of termination.
8. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of any significant changes. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
